IMPORTANT B2B NOTICE
These Terms apply exclusively to business customers, including tour operators, travel agencies, corporate travel buyers and other professional partners. They are not consumer terms.
1. Definitions and interpretation
1.1 "P&B Travel", "we", "us" or "our" means P&B Travel s.r.o., with its registered office at Jablonského 640/2, 170 00 Prague 7, Czech Republic, IČO 03975771, DIČ CZ03975771.
1.2 "Partner" means the business entity requesting, purchasing or booking Services from P&B Travel, including any authorised user of the Agent Area.
1.3 "Traveller" means any passenger, guest, group member or other end user for whom the Partner requests or books Services.
1.4 "Services" means accommodation, transport, transfers, guiding, activities, venues, meals, events, tickets and any other destination-management or travel-related services arranged by P&B Travel.
1.5 "Booking Confirmation" means our written confirmation of a Booking, including any quotation, itinerary, invoice, tariff condition, cancellation schedule or special condition incorporated into it.
1.6 "Agent Area" means the password-protected online portal made available by P&B Travel to registered Partners.
2. Scope, B2B status and precedence
2.1 These Terms apply to use of the Agent Area and to all quotations, reservations and Services supplied by P&B Travel to the Partner, whether booked online, by email or through another agreed business channel.
2.2 By requesting or confirming a Booking, using the Agent Area or accepting Services, the Partner confirms that it acts in the course of business and has authority to bind its organisation.
2.3 The Booking Confirmation and any expressly agreed special conditions take priority over these Terms for the relevant Booking. These Terms otherwise supplement the Booking Confirmation.
2.4 The Partner is responsible for its own contractual relationship with Travellers and for compliance with all consumer, package-travel and travel-organiser obligations applicable to that relationship.
3. Agent Area registration and security
3.1 Access is limited to approved and registered business partners. P&B Travel may approve, refuse, suspend or withdraw access where reasonably necessary.
3.2 The Partner must provide accurate registration information, keep login credentials confidential and restrict access to authorised personnel.
3.3 The Partner is responsible for activity carried out through its account unless it has notified P&B Travel without undue delay of suspected unauthorised use.
3.4 The Partner must not copy, scrape, reverse engineer, interfere with or use the Agent Area for any unlawful or unauthorised purpose.
3.5 Availability of the Agent Area is not guaranteed without interruption. Planned maintenance, security action and technical outages may temporarily affect access.
4. Quotations and formation of a Booking
4.1 Unless expressly stated otherwise, a quotation is an invitation to book and remains subject to availability, supplier confirmation, currency movements and the stated validity period.
4.2 A Booking becomes binding only when P&B Travel issues a written Booking Confirmation or otherwise expressly confirms acceptance in writing.
4.3 Automated acknowledgements, provisional reservations, availability displays and saved online selections do not constitute final confirmation unless expressly identified as confirmed.
4.4 The Partner must review each Booking Confirmation immediately and notify P&B Travel promptly of any discrepancy. Names, dates, quantities, rooming arrangements and requested Services remain the Partner's responsibility.
5. Prices, taxes and currency
5.1 Prices are stated in the currency shown in the quotation, tariff or Booking Confirmation and include only the Services expressly described.
5.2 Unless expressly stated otherwise, prices exclude optional services, personal expenses, local charges payable directly, gratuities and any tax or levy introduced after confirmation.
5.3 P&B Travel may adjust an unconfirmed quotation following supplier price changes, exchange-rate changes, tax changes or corrections of obvious errors.
5.4 After confirmation, any price adjustment will be made only where permitted by the Booking Confirmation, requested by the Partner, caused by incorrect information, or required by a new or changed government tax, fee or mandatory charge.
6. Payment
6.1 Groups: unless expressly agreed otherwise in writing, the full outstanding balance must be received by P&B Travel no later than 25 calendar days before the first Service or arrival date.
6.2 FIT bookings: unless expressly agreed otherwise in writing, invoices are payable within 14 calendar days after the Traveller's departure and receipt of the relevant invoice.
6.3 A Booking Confirmation may require deposits, earlier payment, prepayment or different credit terms. Those specific requirements take priority.
6.4 Payment is complete only when cleared funds are received in the bank account designated by P&B Travel. All transfer, correspondent-bank, card, conversion and other bank charges are payable by the Partner.
6.5 The Partner may not withhold, reduce, set off or defer payment because of a complaint or counterclaim unless P&B Travel agrees in writing or applicable law requires otherwise.
6.6 For overdue amounts, P&B Travel may charge default interest and reasonable recovery costs to the extent permitted by law, suspend credit, withhold documents or Services, and cancel affected Bookings after reasonable notice.
7. Changes requested by the Partner
7.1 All amendment requests are subject to availability and supplier approval.
7.2 The Partner must pay any increase in supplier cost, cancellation charge, rebooking fee, administrative cost or other expense resulting from the requested change.
7.3 A reduction in passenger numbers, rooms, nights or Services may be treated as a partial cancellation and may therefore attract cancellation charges.
7.4 Changes are binding only after written confirmation by P&B Travel.
8. Cancellation, no-show and early departure
8.1 The cancellation conditions stated in the quotation, tariff or Booking Confirmation apply to the relevant Booking and take priority over this clause.
8.2 A cancellation must be submitted in writing by an authorised representative of the Partner and becomes effective when received and acknowledged by P&B Travel.
8.3 Where no specific cancellation schedule has been stated, the Partner must reimburse all non-recoverable supplier charges, committed costs and reasonable administrative expenses incurred by P&B Travel in connection with the Booking.
8.4 No-shows, unused Services and voluntary early departures are non-refundable unless the relevant supplier agrees otherwise in writing.
8.5 P&B Travel may apply incoming payments to cancellation charges and other outstanding amounts relating to the Partner.
9. Partner responsibilities
9.1 The Partner must provide complete and accurate information within required deadlines, including final names, rooming lists, arrival details, dietary requirements, allergies, accessibility needs and other information relevant to safe delivery.
9.2 The Partner is responsible for ensuring that Travellers hold valid passports, visas, permits, insurance, health documentation and any other required travel documents.
9.3 The Partner must communicate confirmed itineraries, supplier conditions, behavioural requirements and material changes to Travellers.
9.4 The Partner must not make representations, guarantees or commitments on behalf of P&B Travel without prior written approval.
9.5 The Partner is responsible for loss or damage caused by its personnel or Travellers and must reimburse P&B Travel for substantiated third-party charges arising from such conduct.
10. Suppliers and operational changes
10.1 P&B Travel arranges certain Services through independent hotels, carriers, venues, guides and other suppliers. Their reasonable operational and safety conditions apply to use of their Services.
10.2 P&B Travel may make a reasonable change or substitute an equivalent service where necessary because of availability, safety, supplier default, operational requirements or circumstances beyond reasonable control.
10.3 P&B Travel will inform the Partner of a material change as soon as reasonably practicable and will seek an appropriate alternative where available.
10.4 Images and descriptions are provided for general guidance. Renovations, seasonal conditions and supplier changes may cause reasonable differences that do not materially reduce the contracted Service.
11. Force majeure
11.1 Neither party is liable for failure or delay caused by circumstances beyond its reasonable control, including natural disaster, extreme weather, epidemic, pandemic, war, terrorism, civil disorder, strike, government action, border restriction, transport disruption, utility failure or supplier closure.
11.2 P&B Travel will use reasonable efforts to assist with alternatives, postponement or recovery. Additional costs and non-recoverable supplier charges remain payable by the Partner unless recovered from the supplier or otherwise agreed.
11.3 A party affected by force majeure must notify the other party as soon as reasonably practicable and take reasonable steps to reduce avoidable loss.
12. Complaints and service recovery
12.1 The Partner or Traveller must report a service issue immediately to P&B Travel and, where appropriate, to the relevant supplier, allowing a reasonable opportunity to investigate and correct it during delivery.
12.2 A formal complaint must be submitted in writing with supporting evidence no later than 14 calendar days after completion of the affected Service.
12.3 Failure to report an issue promptly may reduce or exclude a remedy to the extent that timely notice could reasonably have prevented or limited the loss.
13. Liability
13.1 P&B Travel is responsible for direct loss caused by its proven breach of contract or negligence, subject to this clause and applicable law.
13.2 To the maximum extent permitted by law, P&B Travel's total aggregate liability arising from or connected with a Booking is limited to the total amount actually paid to P&B Travel for the affected Booking.
13.3 P&B Travel is not liable for indirect, consequential or special loss, loss of profit, loss of business, loss of opportunity, loss of reputation, or compensation or commitments offered by the Partner to Travellers without P&B Travel's prior written approval.
13.4 P&B Travel is not liable for loss caused by inaccurate or late information, the Partner's or Traveller's act or omission, failure to follow instructions, or circumstances that could not reasonably have been avoided or overcome.
13.5 Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by applicable law, including liability arising from intentional misconduct, gross negligence or personal injury where legally non-excludable.
14. Insurance
14.1 The Partner must maintain appropriate professional, public-liability and business insurance for its activities.
14.2 The Partner must ensure that each Traveller is advised to obtain adequate travel insurance covering medical treatment, cancellation, curtailment, baggage, personal liability and repatriation.
14.3 Insurance does not replace the Partner's payment obligations to P&B Travel.
15. Personal data and privacy
15.1 Each party must comply with applicable data-protection law, including Regulation (EU) 2016/679 (GDPR) and Czech Act No. 110/2019 Coll., as applicable.
15.2 The Partner warrants that it has a lawful basis to provide Traveller and personnel data to P&B Travel and has provided all required privacy information.
15.3 P&B Travel may process and disclose necessary personal data to suppliers, authorities, professional advisers and service providers for quotations, booking administration, service delivery, safety, payment, legal compliance and claims handling.
15.4 The Partner must not provide special-category data unless necessary for delivery and lawfully collected. Health, dietary, allergy and accessibility information must be limited to what is necessary.
15.5 Further information about P&B Travel's processing practices is provided in our website Privacy Policy.
16. Confidentiality and intellectual property
16.1 Non-public tariffs, net rates, supplier information, itineraries, commercial terms, login credentials and business information supplied by P&B Travel are confidential and may be used only for the Partner's legitimate business with P&B Travel.
16.2 The Partner must not publish, redistribute, resell or disclose confidential net rates or restricted Agent Area content except to authorised personnel who need the information.
16.3 All trademarks, logos, text, images, database content and Agent Area materials remain the property of P&B Travel or their respective owners. No ownership rights transfer to the Partner.
17. Compliance and acceptable conduct
17.1 Each party must comply with applicable anti-bribery, sanctions, anti-money-laundering and trade-control laws.
17.2 The Partner must not use the Services or Agent Area for unlawful, fraudulent, abusive or misleading activity.
17.3 P&B Travel may refuse or suspend performance where reasonably necessary to comply with law, protect safety, prevent fraud or avoid material reputational harm.
18. Suspension and termination
18.1 P&B Travel may suspend Services, credit or Agent Area access if the Partner fails to pay on time, breaches these Terms, becomes insolvent, creates a material security risk or gives reasonable grounds to doubt performance.
18.2 Either party may terminate an ongoing cooperation arrangement by written notice, but termination does not cancel confirmed Bookings or accrued payment obligations unless expressly agreed.
18.3 Clauses intended by their nature to survive termination, including payment, confidentiality, intellectual property, liability and dispute provisions, remain effective.
19. Notices and communications
19.1 Operational communications may be sent to the business email addresses customarily used by the parties.
19.2 Formal legal notices must be sent by email with confirmation of receipt, registered post or courier to the last notified registered or business address.
19.3 The Partner must keep its contact, invoicing and emergency details current.
20. General provisions
20.1 The Partner may not assign or transfer a Booking or its rights without P&B Travel's prior written consent. P&B Travel may use subcontractors and suppliers to perform Services.
20.2 If any provision is invalid or unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions will continue in effect.
20.3 A delay or failure to enforce a right is not a waiver. A waiver is effective only if given in writing.
20.4 These Terms, together with the Booking Confirmation and expressly incorporated documents, constitute the agreement for the relevant Booking and replace prior discussions relating to the same subject.
20.5 P&B Travel may update these Terms for future Bookings by publishing a revised version or notifying the Partner. The version accepted or in force when a Booking is confirmed applies to that Booking unless otherwise agreed.
21. Governing law and jurisdiction
21.1 These Terms, each Booking and any non-contractual obligation connected with them are governed by the laws of the Czech Republic.
21.2 The competent courts in Prague, Czech Republic have exclusive jurisdiction over disputes arising from or connected with these Terms or a Booking, subject to any mandatory rule of applicable law.
21.3 The parties will first attempt in good faith to resolve any dispute through authorised commercial representatives.
22. Electronic acceptance
22.1 The Partner accepts these Terms by selecting an online acceptance box, creating or using an Agent Area account, submitting a Booking request after receiving notice of the Terms, or otherwise confirming acceptance in writing.
22.2 The Partner should save or print the version accepted for its records.
